1. Overview

These Terms of Service (“Terms”) govern your access to and use of BetterMeter (“Service”), operated by BetterMeter (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

These Terms are effective as of March 22, 2026. We encourage you to read them carefully before using the Service.

2. Service Description

BetterMeter is a privacy-first analytics platform designed to help developers and businesses understand how their digital products are used without compromising end-user privacy. The Service provides:

  • Website traffic analytics, including pageviews, referrer tracking, and AI-sourced traffic attribution
  • CLI tool usage tracking and analytics
  • MCP (Model Context Protocol) server analytics
  • API request monitoring and analytics
  • Brand visibility monitoring across search engines
  • Bot and crawler detection and analytics

The Service is delivered through a web dashboard, a command-line interface (CLI) tool, MCP server tools, a lightweight browser tracking script, and a Node.js SDK. All components are subject to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to the following:

  • You must provide accurate, current, and complete information during the registration process and keep your account information up to date.
  • You are responsible for maintaining the confidentiality and security of your account credentials. You must not share your password or API keys with any third party.
  • You must be at least 16 years of age to create an account and use the Service.
  • Each account is intended for a single person or legal entity. Accounts are non-transferable and may not be sold, traded, or assigned to another party.
  • You are solely responsible for all activity that occurs under your account, whether or not you authorized such activity. You must notify us immediately if you become aware of any unauthorized use of your account.

4. Acceptable Use

You may only use the Service for lawful purposes and in accordance with these Terms. You agree not to engage in any of the following prohibited activities:

  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Service, except to the extent expressly permitted by applicable law.
  • Scraping, crawling, or using any automated means to access the Service beyond the normal use of our published APIs and SDKs.
  • Attempting to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service.
  • Using the Service to track end users without their knowledge or consent where such knowledge or consent is required by applicable law, including but not limited to the GDPR, CCPA, or similar legislation.
  • Sending excessive, abusive, or intentionally malformed event data to the Service with the intent to disrupt its operation or degrade performance for other users.
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
  • Violating any applicable local, provincial, national, or international law, regulation, or ordinance.

We reserve the right to investigate and take appropriate action against any violations of this section, including suspending or terminating your account without notice.

5. Your Data

We believe your data belongs to you. The following outlines how we handle data collected through your use of the Service:

Ownership

You retain all ownership rights to the analytics data collected through your use of the Service. We claim no intellectual property rights over the data you collect from your websites, CLI tools, MCP servers, or APIs.

Limited License

You grant us a limited, non-exclusive, non-transferable license to process, store, and display your data solely for the purpose of providing and improving the Service. We will not use your data for any other purpose without your explicit consent.

No Data Sales

We do not sell, rent, or share your data with third parties for their marketing or advertising purposes. Your analytics data is never used to build advertising profiles or sold to data brokers.

Your Responsibility

You are responsible for ensuring that you have the legal right to collect analytics data from your websites, tools, and services. This includes obtaining any necessary consents from your end users as required by applicable privacy laws.

Data Deletion

Upon deletion of your account, all associated analytics data will be permanently and irreversibly removed from our systems within 30 days. We may retain anonymized, aggregate data that cannot be linked back to your account for the purpose of improving the Service.

6. Intellectual Property

The Service, including but not limited to its design, features, functionality, source code, documentation, user interface, and all related content, is owned by BetterMeter and is protected by applicable copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on any part of the Service without our prior written consent.

The BetterMeter name, logo, and all related branding elements are trademarks of BetterMeter. You may not use our trademarks without prior written permission, except as reasonably necessary to refer to BetterMeter in a descriptive context.

7. API and SDK Usage

The Service provides APIs, SDKs, and CLI tools for programmatic access. Your use of these tools is subject to the following conditions:

  • API keys are confidential credentials. You must not share, publish, or otherwise expose your API keys publicly, including in client-side code, public repositories, or shared documents.
  • We may impose rate limits on API access to ensure fair usage across all users. You must not attempt to circumvent these rate limits through any means.
  • We reserve the right to revoke, disable, or regenerate API keys at any time if we determine that they are being used in violation of these Terms or pose a security risk.
  • You are responsible for keeping your SDKs and CLI tools updated. We may deprecate older versions with reasonable notice.

8. Service Availability

We strive to maintain high availability of the Service. However, you acknowledge and agree that:

  • We do not guarantee uninterrupted, error-free, or secure access to the Service at all times.
  • The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our reasonable control, including but not limited to network outages, infrastructure failures, or force majeure events.
  • We will make commercially reasonable efforts to provide advance notice of planned maintenance windows that may affect Service availability.
  • We are not liable for any loss of data, revenue, or business opportunities resulting from Service downtime, whether planned or unplanned.

9. Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, BetterMeter and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless BetterMeter and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  1. Your use of the Service;
  2. Your violation of these Terms;
  3. Your violation of any rights of a third party;
  4. Any content or data you collect, process, or transmit through the Service; or
  5. Any claim that your use of the Service caused damage to a third party.

This indemnification obligation will survive the termination of these Terms and your use of the Service.

11. Termination

Either party may terminate this agreement at any time, subject to the following conditions:

Termination by You

You may terminate your account at any time by using the account deletion feature in the dashboard or by contacting us. Upon termination, your right to access and use the Service ceases immediately.

Termination by Us

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive conduct, or if required to do so by law.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. The following sections survive termination: Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should reasonably survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, the updated Terms will be posted on this page with a revised “Last updated” date.

For material changes that significantly affect your rights or obligations, we will provide at least 30 days' advance notice via email or a prominent notification within the dashboard before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you disagree with any changes, you may terminate your account before the changes take effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Montreal, Quebec, Canada. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
